These Terms and Conditions ("Agreement") apply to all purchases of mushroom grain spawn ("Product") supplied by Urban Farmer Ltd, a company registered in England and Wales with company number 12221766, whose registered office is at 1 The Snuggery, Hoath CT34LZ ("we", "us", "our", or "Urban Farmer Ltd").

By placing an order with us, you ("Buyer") agree to be bound by the following terms and conditions.

1. Eligibility

Purchases are available to businesses and individuals engaged in mushroom cultivation, resale, research, or related activities. 

2. Product Description

Urban Farmer Ltd supplies mushroom grain spawn: sterilised grain inoculated with live mushroom mycelium. The product is intended for propagation purposes in controlled environments.

We provide full strain descriptions and usage guidelines via our website or on request.

3. Ordering and Payment

• Order Acceptance: Orders are confirmed upon receipt of full payment, unless credit terms have been agreed.
• No amends to orders: Orders can not be amended once placed and paid for.

4. Shipping and Delivery

• Dispatch Time: Orders are typically dispatched within 1-5 working days of cleared payment, depending on volume and stock.
• Shipping Method: Products are shipped using tracked courier services with delivery confirmation.
• Shipping Charges: Buyer is responsible for shipping costs unless otherwise agreed in writing.
• Risk of Loss: Risk passes to the Buyer upon dispatch. We recommend immediate inspection upon receipt.
• All mixed species orders will be dispatched once ALL items are in hand unless otherwise instructed. If instructed, this will result in a split shipment charge payable in advance. It is the responsibility of the customer to notify UFI and request a split shipment. 

5. Handling, Storage, and Shelf Life

• Mushroom spawn is a living product and must be stored in a clean, cool, and dark environment (If you are unsure of the conditions your spawn should be stored in, please contact the Urban farm It team).
• Use within 2–4 weeks of receipt for optimal performance.
• Urban Farmer Ltd is not responsible for contamination or loss of viability due to improper storage or handling after delivery.

6. Returns, Refunds, and Replacements

Due to the perishable and custom-prepared nature of our products:

• All sales are final.
• We do not accept returns of mushroom spawn.
• If your shipment arrives damaged, incorrect, or contaminated, you must notify us within 24 hours of delivery with photos and a written description.
• Approved claims may be eligible for a replacement or credit note at our discretion. Refunds will only be issued under exceptional circumstances.

7. Product Warranty and Disclaimer

• We guarantee that all mushroom grain spawn is viable and contaminant-free at the time of dispatch.
• No further guarantees are made regarding performance, as results depend on Buyer’s equipment, hygiene practices, and environmental conditions.
• Urban Farmer Ltd disclaims all liability for consequential damages or crop failures resulting from improper use, storage, or environmental factors.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our liability shall not exceed the total amount paid for the specific order in question.
• We are not liable for indirect, incidental, or consequential losses including but not limited to lost profits, business interruption, or crop failure.

9. Compliance and Legal Use

Buyer agrees:

• To use the products in accordance with all applicable UK laws and regulations.
• Not to use or distribute the products for illegal cultivation or in any way that violates local, national, or international law.

10. Force Majeure

We shall not be held liable for failure to fulfil our obligations due to events beyond our reasonable control, including but not limited to natural disasters, strikes, delays in transit, supply chain disruptions, or changes in legislation.

11. Intellectual Property

All branding, strain names, product information, and instructional materials provided by Urban Farmer Ltd are our intellectual property and may not be copied, resold, or republished without express written permission.

12. Amendments

Urban Farmer Ltd reserves the right to update or amend these Terms at any time. The latest version will always be available at www.urban-farm-it.com and will apply to all future orders.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
